UWM Holdings Corp<\/strong>. is challenging Two Harbors Investment Corp.<\/strong>\u2019s board after it rejected a $12<\/a> per share acquisition proposal in favor of an $11.30<\/a>\u00a0per share deal with CrossCountry Mortgage LLC<\/strong>, issuing a lengthy response that questioned the board\u2019s analysis and process.<\/p>\n

In a statement on Monday, UWM said \u201cthe TWO Board\u2019s interpretation of the numbers don\u2019t reflect the underlying math.\u201d The company said the board is \u201ccontorting itself with illogical arguments to suggest otherwise, preventing TWO stockholders from even the opportunity to receive significantly higher value.\u201d<\/p>\n

Two Harbors\u2019 board on Monday formally rejected<\/a> UWM\u2019s proposal and reaffirmed support for the $11.30 per share cash deal with CCM, citing \u201cfinancing, closing, business and credibility risks\u201d tied to UWM\u2019s bid. According to UWM, its updated offer totals $12 per share or or 2.3328 shares of UWMC Class A common stock, with no cap or proration on the amount of cash.<\/p>\n

UWM pushed back on the board\u2019s description of closing risks, including references to potential balance sheet \u201cerosion\u201d and concerns about UWM\u2019s credibility because its proposals have been accompanied by litigation threats.\u00a0<\/p>\n

The bidder called the board\u2019s stance \u201cdisingenuous,\u201d noting that the same directors had recommended a transaction with UWM in December, \u201cincluding by highlighting the ability to achieve necessary approvals.\u201d<\/p>\n

Two said UWM claimed the deal could close within two to three months of signing, but state regulatory requirements for change-of-control approvals mandate at least 120 days of advance notice, making the timeline unrealistic.<\/p>\n

The Pontiac, Michigan-based wholesale lender said its offer is supported by a committed, unsecured $1.3 billion bridge facility from Mizuho Bank Ltd. \u201cwith no ratings trigger, no borrowing-base test, and no market contingency.\u201d To address concerns raised by Two Harbors, UWM said \u201cMizuho has agreed to remove the customary due diligence condition that the TWO Board raised concerns about.\u201d<\/p>\n

\u201cThis is more than can be said for CrossCountry\u2019s financing, which still contains scant details even in the most recent announcement and the Board deliberately fails to provide any details about it for obvious reasons,\u201d UWM said.<\/p>\n

UWM characterized the actions of the Two Harbors board as \u201cegregious\u201d and said they demonstrate the board \u201cdoes not deserve TWO stockholder support for an inferior deal.\u201d<\/p>\n

\u201cUWMC is assessing its options to make sure TWO stockholders are able to obtain the value they deserve,\u201d the company added.<\/p>\n
